Hence elections will be held at the Annual General Meeting to fill up the posts of President, VicePresident and five Committee Members. ANNUAL SESSION The 115th Annual Session of the Chamber was held at Convention Centre, Hotel Dream, Kadavanthara, on September 12, 2012 at 6.30 p.m. followed by dinner. About 230 delegates attended the programme. The Chief Guest of the session was Mr. Shashi Tharoor, Honorable Member of the Parliament, Govt. of India and the Guest of Honour was Ms. Jennifer A Mclntyre, Consul General, US Consulate, Chennai. The ICCI Export Awards in various categories were presented on the occasion. Memento was presented to the outgoing President of ICCI. Dr. Baiju Ramachandran was felicitated for his Outstanding Interface between Industries & Academics. The hon’ble Member of Parliament from Trivandrum Constituency Mr. Shashi Tharoor, Chief Guest of the session, handed over the ICCI President’s Award to Dr. Baiju Ramachandran. NEW INITIATIVES: ISO 9001 - 2008 Certification: Bureau Veritas carried the audit of the Chamber in two stages and have recommended for the ISO Certification. A specimen approved certificate was handed over to the President on 23rd August. Formalities are being processed for issuance of final certificate. Formation of Young Minds – The Youth Forum of Indian Chamber of Commerce & Industry Members may note that, today’s youth have made their presence felt with their talents; skill and creativity, they have developed their own identity on the National and International arena. In this direction, the Chamber Board decided to form a Youth Forum to nurture and tap the potential budding Entrepreneurs. A separate Bye-Law has been drafted and implemented for the smooth functioning of the Youth Forum. Maritime Arbitration Council: Steps are being taken to set up the counter for Maritime Arbitration Council.

Twining of Chamber with Kochi, Japan: Mr. Oya Hiroshi, Consultant from Japan, visited the Chamber office on August 31, 2013 and met the President and stressed upon building business relationship with India. MoU with Consulate of South Africa: A MoU is being finalised with the Consulate of South Africa for enhancing the economic and business interest and to do business with them. A delegation of South Africa visited the Chamber on September 3, 2013 and discussed to develop business and trade between two nations.

IN ASSOCIATION WITH FICCI FICCI AGM: The Annual General Meeting of FICCI was held on December 15, 2012 at Federation House, New Delhi which was inaugurated by Dr Manmohan Singh, Hon’ble Prime Minister of India. This was followed by various sessions addressed by eminent public figures including Dr. Shashi Tharoor, Mrs. Sushma Swaraj, Leader of Opposition in Lok Sabha, Mr. Ajit Singh, Mr. Kamal Nath, Mr. Jyothiraditya Scindia and Mr. Anand Sharma Hon’ble Union Ministers. Mr. Nishesh Shah, Mr. Rajkumar Gupta and Mr. S Ramakrishnan represented our Chamber. They had fruitful discussion with many officials of FICCI regarding forthcoming programs. Interaction with FICCI Officials: The Secretary General, Dr. A Didar Singh and Director General, Dr. Arbind Prasad addressed the Chamber Members at an interactive meeting held at the Chamber Hall on January 7, 2013. Issues pertaining to trade were discussed at the meeting.

FICCI-FSSAI Harmonisation Programme: Workshop on Harmonization of India’s Food Standards with CODEX Standards and other International Best Practices was held in association with FSSAI and FICCI on March 11, 2013 at Hotel Avenue Regent, MG Road, Ernakulam. About eighty delegates participated. Mr. P. Karthikeyan, Asst Director, FSSAI New Delhi and Ms. Padmaparna Dasgupta, Director, CIFTI-FICCI led the program. Mr. Nishesh Shah, President welcomed the gathering. FICCI Southern Region Conference: FICCI interactive meeting with southern region members was held on July 22, 2013 at Bengaluru. Apart from the interactive meeting, there were useful sessions on Governance and Indian Economy. Panel Discussion on India’s Competitiveness on World IT Map @2020 and Meeting with Hon’ble Chief Minister of Karnataka was also arranged during the session. President Mr. Nishesh Shah and Secretary Mr. K Raghu attended the conference. FICCI Workshop on ATA Carnet: Your Visa for Temporary Export/Import of goods between International borders. A FICCI workshop on ATA Carnet was organised on August 23rd 2013, at Gateway Hotel, Ernakulam with Co Partners Indian Chamber of Commerce & Industry, Cochin and Sea Food Exporters Association of India (Kerala Region). Mr. George Muthoot, Chariman, FICCI Kerala Chapter, gave the Welcome address. ICCI President, Mr. Nishesh Shah, gave the opening remarks. Mr. K N Raghavan, Commissioner of Customs, Kochi delivering the inaugural address at the workshop expressed that the exim community and traders should use the ATA Carnet facility promoted by FICCI. He said the ATA Carnet is a temporary admission document which simplifies the customs procedures and clearances in a foreign country, without paying duty or a bank guarantee for temporary import into that country. Like a passport for goods, the ATA Carnet allows goods to enter any of the participating countries for up to one year. An ATA Carnet holder can avoid customs declaration

and do away with security deposit or guarantees. In India, FICCI is the sole national guarantor for ATA Carnets. Mr. Satish Kumar Reddy, Director (ICD), CBEC, Ministry of Finance, touched upon the important aspects of ATA Carnet, its benefits and legal aspects. Mr. Jagadish Singh, Commissioner of Central Excise and Service Tax also urged the trading community to utilize the ATA Carnet facility for their international business transactions whenever required. Mr. Nirankar Saxena, Senior Director, FICCI, made a presentation on ATA Carnet and its benefits.

Affiliated Associations The Tea Buyers Association: The President and the Secretary attended the Annual Session of the Tea Buyers Association held at Hotel Fort Queen, Cochin. A meeting was held with the office bearers of Tea Buyers Association, to understand issues, if any, faced by them and to discuss ways and means to provide meaningful services for mutual benefit. TBA President Mr. Dharmendra D Vora, Vice-President Mr. Krishnakumar J Shah and Honorary Secretary Mr. Musthafa Moosa attended the meeting with the President and the Secretary of the Chamber. The Cochin Hill Produce Merchants' Association: In an effort to improve working relations with the Affiliated Associations, a meeting was held with the office bearers of Affiliated Associations. In this regard, the President and the Secretary held discussions with the Cochin Hill Produce Merchants’ Association. Messrs. Mahesh N Joshi, President, Bakul Shah, Vice President and Anand Kishor, Secretary participated. The President Mr. Nishesh Shah attended the Annual Session and offered felicitations. The Cochin Coir Merchants Association: A meeting of the Office bearers of the above association was held. M/s Kaleelur Rahman, President, Chetan Joshi, Secretary and Bhupen Meishri attended the meeting.

DISHA AGM The AGM of DISHA was held on November 27, 2012 and a new Board of Trustees were elected. The amendments to the Trust Deed of DISHA were ratified by the Committee. DISHA Annual day was celebrated on March 26, 2013 at the Chamber Hall. Messrs Nishesh Shah, Bharat N Khona, and Dileep Mehta spoke on the occasion. The Meeting was followed by variety entertainments by the Students of DISHA.

SEMINARS & WORKSHOPS Seminar on Intellectual Propriety Rights: A seminar on Intellectual Property Rights was organised in association with Institute of Cost and Works Accountants, on November 17, 2012. Chief Regional Manager of Indian Overseas Bank, Mr. C Haridas inaugurated the Seminar. Dr. Baiju Ramachandran, Director, ICCI, Mr. H Padmanabhan, Secretary, SIRC and Mr. S Harihara Subramanian, Past Chairman, of SIRC spoke. Senior IPR Consultant Mr. Venugopalan Nair made the presentation. VISA procedures to USA: Officials from US Consulate, Chennai including Michael Cathey, Heather Smith – Vice Consul and Ms. Vidya Bridget Nanthankumar– Coordinator, Consular Information Unit addressed an interactive meeting held at the Chamber Board Room on December 10, 2012 and made a presentation on the latest procedures in obtaining Visa. Seminar on The 500th year of Arrival of Jews in Cochin: A Seminar was held in association with IFCHAT at the Indian Chamber Hall on March 7, 2013. Mr. Cyriac Joseph, Retd. Judge, was the Chief Guest. Mr. Dominic Presentation, MLA, Mr. Cyril George, Secretary, Cochin Port Trust, and others spoke on the occasion. Mr. Austin Paul, President, IFCHAT presided. Mr. Nishesh Shah, President of the Chamber delivered the keynote address

and Mr. Abdul Azeez, Vice President proposed vote of thanks. Mrs. Queenie Hallegua, the daughter of Mr. S Koder and Mrs. Sarah Cohen, oldest living Jew in Mattancherry were honoured. Seminar on Practical Aspect of Foreign Trade Policy: ICCI-Tvm office in association with Federation of Indian Exporters Organisation (FIEO) – Kerala Chapter organised a seminar on “Practical aspects of Foreign Trade Policy with special emphasis on incentive schemes, procedures & obligations” at Hotel ResidencyTower, Statue, Trivandrum on April 8, 2013. FIEO Chairman (Southern Region) Mr. Walter D’Souza inaugurated the seminar. Chamber Director Dr. Baiju Ramachandran delivered the welcome address. FIEO Director (Southern Region) Mr. K.Unnikrishnan introduced the theme. Prof. K.R.Nath of Indus Business Academy, Bangalore was the resource person. The seminar covered all the schemes available under FTP, its better utilization, procedures, fulfillment of export obligations etc. Seminar on Copyright and Internet Laws: ICCI-Tvm office organised a seminar on the topic "Copyright & Internet Laws for daily life and business" at Attingal Govt. College Auditorium, Trivandrum on April 27, 2013. Indian Chamber Director Dr. Baiju Rama-chandran presided over the inaugural session and Attingal Bar Council President Adv. Faizy inaugurated the programme. IPR Attorney Adv.S.Venugopalan Nair took the sessions. A backgrounder was released in the inaugural workshop. The first copy was received by the Asst. Professor (Commerce) of Attingal Govt. College Prof.V.S. Joy from Adv.S. Venugopalan Nair. Nearly 90 people participated in the seminar. Presentation on ‘Opportunities for Higher Education in the USA: The Indian Chamber organised an interactive session on the Opportunities for Higher Education in USA in association with USIEF, Chennai on May 8, 2013. Dr. Srilakshmi Ramakrishnan made the presentation. President Nishesh Shah welcomed the gathering and Mr. Abdul Azeez, Vice President proposed vote of thanks.

Workshop on Disciplinary Procedure & Domestic enquiry: ICCI-Tvm partnered with Inspire Management Consultants for organising a one day workshop on ‘Disciplinary Procedure & Domestic Enquiry’ which was held at Hotel Highland Park, Trivandrum on May 22nd, 2013. The workshop was inaugurated by Management Guru and Former Professor of Loyola College of Management Prof.TSN Pillai by lighting the traditional lamp. Adv.K.Yesodharan, Chief Consultant, Inspire Management Consultants presided over the inaugural session. Indian Chamber Director Dr. Baiju Ramachandran offered felicitations. Technical sessions were led by Adv.Yesodharan, Adv.Anil Narayanan and Mr. Sasikumar. S. The workshop covered the theoretical and practical aspects of disciplinary procedure, Indian laws on discipline, preparation of charge-memo, its basic ingredients, domestic enquiry under labour laws, role of presenting officer etc. About 30 delegates attended the workshop. Chamber of Commerce Awareness Programme: ICCI-TVM office with the support of Bhashaposhini (a social organization) organized an awareness programme to the selected school students on the topic ‘Role of Indian Chamber of Commerce for Business Development’ on June 23, 2013. This program was meant to create the visibility and awareness about the Chambers of Commerce particularly about ICCI among the school students. Mr. Deepak Jijo was the faculty of the awareness program. Recent Amendments in Company Law: Chamber Director Dr. Baiju Ramachandran was invited by the UGC-Academic Staff College, Trivandrum to give an orientation programme to teachers of University and Colleges on June 28, 2013 at their premises. Inauguration of Raj Law Consultancy: On July 1, 2013, ICCI Director Dr. Baiju Ramachandran inaugurated the new office of M/s. Raj Law Consultancy on its 10th Annual Day by lighting the traditional lamp. During the programme, Dr. Baiju

Ramachandran released a publication on FDI compiled by Adv.Simi Raj by handing over to Adv.S.Pallichal Aswakumar. Challenges & Opportunities for New Entrepreneurs & MSMEs in India: On July 6, 2013, ICCI-Tvm organised a panel discussion on "Challenges and opportunities for new entrepreneurs and MSMEs in India" at Kariavattom Campus of Kerala University. Dr. Simon Thattil, Commerce Professor of Kerala University delivered welcome address. Indian Chamber Director Dr. Baiju Ramachandran was the moderator of the discussion, who introduced the expert panel and the theme. Expert panel included Mr. M N Chellappan, Managing Director, Clean Plus Apparel Industries Pvt. Ltd, KINFRA Park, Mr. Vinod Narayanan, Director, Pargon BioMedicals Pvt. Ltd, Technopark, Mr. Suveen S.V, CEO, AtelierTech IT Services Pvt. Ltd, Technopark, Olga Richards, Chairman & Managing Director, Kerala Gooseberry Hills Ayurveda Health Resorts Pvt. Ltd, Trivandrum, and Adv.S.Venugopalan Nair, Corporate Lawyer and IPR Attorney. After the deliberation by the experts on the topic, various issues, problems and remarks raised by the participants were clarified by the panelist. Technopark Visit – cum - Business Incubator Awareness Programme: On July 7, 2013, ICCI-Tvm arranged a visit to Technopark and organised Technopark Business Incubator Awareness Programme. Discussion and Debate on Present Work Culture – Trends, Issues & Solutions: On July 13, 2013, ICCI-Tvm office organised a discussion and debate on the topic “Present Work Culture – Trends, Issues & Solutions” at Biverah Hotel & Suites, Thiruvananthapuram. Indian Chamber Director Dr.Baiju Ramachandran welcomed the dignitaries and introduced the topic. Shri.Sukumaran IAS presided over and moderated the discussion and debate. After detailed deliberations, it was decided to organise a capacity building training programme at Trivandrum for the young professionals to address various issues of present work culture. Seminar on Intellectual Property Rights: A seminar on IPR was held at Hotel Abad Plaza, Ernakulam on July 18, 2013 in association with U.S. Commercial Service. Ms. Kalpana Reddy, the First Secretary for Intellectual Property, Embassy of United States of America and Advocate S Venugopalan Nair, IP Consultant and IPR Counsel to Toonz Group, Technopark, Trivandrum, were the speakers. Eminent people from IT, Media and various other sectors attended the seminar. It was followed by Q&A Session. One Day Seminar on Sexual Harassment at the workplace: On July 23, 2013, ICCI-Tvm in association with Inspire Management Consultants jointly organised a one day seminar on Sexual Harassment of women at the workplace at Hotel Highland Park, Trivandrum. The seminar was inaugurated by Hon’ble Justice D.Sreedevi. The seminar covered all aspects of the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013” such as constitution of internal compliance committee, local compliance committee, complaint mechanism, inquiry into complaint, duties of employer, duties and power of district officer, third party harassment, importance of awareness etc. A group discussion was also organised along with the seminar about how to implement the law in various organizations. As per the new legislation, it is the duty on the part of every employer to comply with the various provisions of the Act in order to prevent, prohibit and redressal of complaints of sexual harassment of women at the workplace. Meeting with Mr. Hemin Bharucha, Director – Scottish Development International Mr. Hemin Bharucha, Director West and South India (IT & Engineering), Scottish Development International visited the Chamber on August 13, 2013 and discussed the prospects of joining hands with the Chamber. Breakfast Meeting with Mr. Earnest Bower, US Foreign Policy Expert: A breakfast meeting was held with Mr. Earnest Bower, a Senior Adviser and Sumitro Chair for South East Asia Studies and Co – Director of the Pacific Partners Inititative at the Center for Strategic and International Studies, on August 17, 2013 at Koder House, Fort Kochi. He expressed surprise over India’s seeming reluctance to cash in on its shared culture and heritage with South East Asian countries. He mentioned how crucial it is for the US to develop ties with the Association of South East Asian Nations (ASEAN) and countries like India. He said India is big market. But unfortunately, it does not have a holistic national business plan. He said the US has not given up on India. He said doing business in India or Indonesia is like doing business in California, where you have to know the Central Govt., State Govt., the Municaplity, NGO’s etc and all the rules therein. Meeting on National Highways: The President attended a meeting held at KMA office to discuss about the parameters to be suggested for National Highways in the Kerala State on April 3, 2013 Meeting with GCDA officials: On April 11, 2013, the Vice President and the Secretary attended the Meeting convened by GCDA Chairman to discuss about developmental projects undertaken by the GCDA. Webinar with Finance Minister: The program titled ‘Dhanamanthri Kanmumbil’ was organised on May 14, 2013 with the Hon’ble Finance Minister’s office in Trivandrum. UNION BUDGET Union Budget was presented in the Lok Sabha by the Hon’ble Finance Minister Mr. P Chidambaram on February 28, 2013. The reactions of the Chamber were issued by way of a Press Release. TRAINING /EDUCATIONAL Interaction with MBA Students of MACFAST: On October 17, 2012, a team of 53 students of the first year of MBA course from MACFAST Institute visited the Chamber along with three faculty members including Directors. Meeting called by Chief Secretary, Industries: On October 15, 2012, Dr. Baiju Ramachandran, Director of the Chamber attended the meeting called by the Chief Secretary, Industries at Mascot Hotel, Trivandrum. Flowershow, Fortkochi: The President Mr. Nishesh Shah and the Vice President Mr. A A Abdul Azeez participated in a meeting with the Cochin Horticultural Forum on 16th January, 2013 on organizing a Flower Show at Fort Kochi during the month of February. It was decided that Chamber would involve as joint organizer with the above forum. The President, Vice President, Secretary and Past President Mr. T Vidyasagar would represent the Chamber. On February 22nd 2013, The Flowershow at Fortkochi was inaugurated by Prof K V Thomas, Hon’ble Union Minister. Investor Awareness Programme: On January 29, 2013 Dr. Baiju Ramachandran, Director of the Chamber participated in an investor awareness programme organised by the ICSI with the aid of Ministry of Corporate Affairs, Govt. of India at Bank Association Hall, Thiruvananthapuram. Vyavasayi Sangamam: On January 30, 2013 Chamber officials participated in “Vyavasayi Sangamam” organised by Kerala State Small Industries Association (KSSIA) at Thiruvananthapuram. SME Summit: An SME Summit in association with Silicon India was held at Hotel Avenue Regent, M G Road, Ernakulam on February 27, 2013. Protest against hike in Stamp duty in AOA & PD: In the budget of Govt. of Kerala, Stamp duty on Articles of Association was increased from Rs. 1,000 to Rs. 10,000 and for Partnership Deed from Rs. 1,000 to Rs. 5,000, whereas in our neighboring States the duty is only Rs. 300/-. On March 20, 2013, Dr .Baiju Ramachandran, Director gave a press note to the media stating that the proposed increase would adversely affect the entrepreneurship development. He on behalf of the Chamber requested the Hon’ble Finance Minister to review the matter.

MEDIA COVERAGE / PRESS RELEASE Telecast Live Panel Discussion on Post Union Budget: On February 28, 2013, Dr. Baiju Ramachandran participated in a panel discussion on Post Union Budget which was organised by Mathrubhoomi. The programme was telecasted live by Mathrubhoomi Channel. Article in Dhanam Magazine: Article by Dr Baiju Ramachandran on suggestions to the development of MSME Sector in Kerala was published in the Dhanam Business Magazine dated April 16, 2013. Kerala Budget 2013-14 presented by Mr. K.M.Mani: In a statement released by ICCI-Tvm, Director Dr. Baiju Ramachandran welcomed the Budget for the FY 2013-14 presented by Hon’ble Minister for Finance, Govt. of Kerala, Shri. K.M.Mani, especially, allocation of fund for Vizhinjam Project, Mono Rail Project, High Speed Rail Project etc. Protest against stamp duty increase in AOA & PD: In the budget of Govt. of Kerala, Stamp duty on Articles of Association was increased from Rs. 1,000 to Rs. 10,000 and for partnership deed from Rs. 1,000 to Rs. 5,000 whereas in our neighboring states the duty was Rs.300 only. CORPORATE SOCIAL RESPONSIBILITY INITIATIVES Since we are committed to behave ethically and contribute to the economic development while improving the quality of life of our members as well as local community at large, we are extending support to the poor people as a part of our Corporate Social Responsibility (CSR) activities. We believe, irrespective of private or public, all the organizations including chamber like us have an important role to play in achieving social justice. Our CSR activities included the following: Distribution of books to poor students: On October 2, 2012, on the Gandhi Jayanthi Day, note books were distributed to poor students in a simple function held at the Trivandrum Office. Books were sponsored by M/s. Famous Books, Trivandrum. Felicitation to Ms. Haritha V.Kumar, IAS Topper: On May 21, 2013, a team of ICCI-Tvm members visited the residence of Ms. Haritha V.Kumar to felicitate her on the achievement for having attained the first rank in the Civil Service Examination 2012. Dr. Baiju Ramachandran, Director Indian Chamber presented a memento to Ms. Haritha V.Kumar. An Appreciation Letter, ICCI brochures and Directory were also handed over to her. Contribution of library books to School: ICCI-Tvm contributed some books to the library of Govt. Model Higher Secondary School for Girls, Pattom, Trivandrum on July 26, 2013. These books were contributed by Dr. Baiju Ramachandran and his friends and well wishers. The front pages of all the books were marked with “Donated by Indian Chamber of Commerce & Industry”. Donation of clothes to inmates of Mental Hospital: On August 15, 2013 as a part of the Independence Day programme, the Indian Chamber Director Dr. Baiju Ramachandran donated clothes to the inmates of the mental hospital. Dr. Sheela Joseph.C received the same on behalf of the patients.

SECRETARIAL ASSISTANCE The Chamber continued to attend to the secretarial work of the Cochin Rubber Merchants' Association, the Grain Merchants' Association and the Tea Buyers Association during the year under report.

MEMBERSHIP IN OTHER ORGANISATIONS The Chamber continued to be a subscribing member of the following organisations: 1. Federation of Indian Chambers of Commerce and Industry, New Delhi 2. All India Organisations of Employers, New Delhi 3. Kerala State Productivity Council, Kalamassery 4. Cochin Port Lease Holders' Association, Cochin. 5. Indian Council of Arbitration ACCOUNTS The Balance Sheet and Income & Expenditure Account of the Chamber for the year ended March 31, 2013 duly audited by Messrs. Kaimal and Co., Chartered Accountants, Cochin-682002, are attached. The total revenue receipts amounted to Rs. 71.86 lacs as against Rs.66.31 lacs for the year 2011-2012. There is an excess of income over expenditure of Rs. 2.00 lacs for the year as against Rs. 4.16 Lacs during the previous year. INTERNAL AUDITORS Messrs. S Murali Associates, Chartered Accountants, Cochin 682002 are the Internal Auditors of the Chamber.

Directors Responsibility Statement Under Section 217 (2AA) of the Companies Act 1956: The Board of Directors of the Indian Chamber of Commerce & Industry confirms;  that in the preparation of the annual accounts, the applicable accounting standards have been followed and there has been no material departures;  that the selected accounting policies were applied consistently and the Directors made judgment and estimates that are reasonable and prudent so as to give a true and fair view of the state of affairs of the Association as on March 31, 2013 and the excess of expenditure over income of the Association for the year ended on that date;  that proper and sufficient care has been taken for the maintenance of adequate accounting records in accordance with the provisions of the Companies Act, 1956 for safeguarding the assets of the Chamber and for preventing and detecting fraud and other irregularities;  that the annual accounts have been prepared on a going concern basis.

CONCLUSION In conclusion, the Committee place on record the valuable help, assistance, cooperation and guidance received by them from the Members of the Chamber during their term of office. The Committee also places on record with appreciation the work done by the Secretariat for the successful conduct of the affairs of the Chamber. Report on the Financial Statements We have audited the accompanying financial statements of the Indian Chamber of Commerce & Industry, Cochin – 2, (“the Association”), which comprise the Balance Sheet as at 31st March, 2013 and the Statement of Income & Expenditure for the year ended on that date, and a summary of the significant accounting policies and other explanatory information. Management’s Responsibility for the Financial Statements The Association’s Management is responsible for the preparation of these financial statements that give a true and fair view of the financial position and financial performance of the Association in accordance with the Accounting Standards referred to in Section 211(3C) of the Companies Act, 1956 (the “Act”) and in accordance with the accounting principles generally accepted in India. The responsibility includes the design, implementation and maintenance of internal controls relevant to the preparation and presentation of the financial statements that give a true and fair view and are free from material misstatements, whether due to fraud or error. Auditor’s Responsibility Our responsibility is to express an opinion on these financial statements based on our audit. We have conducted our audit in accordance with the Standards of Auditing issued by the Institute of Chartered Accountants of India. Those standards require that we comply with the ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatements. An audit involves performing the procedures to obtain audit evidence about the amounts and the disclosures in the financial statements. In making those risk assessments, the auditor considers internal control relevant to the Association’s preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Association’s internal control. An audit also includes evaluating the appropriateness of the accounting policies used and the reasonableness of the accounting estimates made by the Management, as well as evaluating the overall performance of the financial statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.

No provision has been made in the accounts towards Income Tax Liability , if any, including in respect of earlier years. Opinion In our opinion and to the best of our information and according to the explanations given to us, except for the effects of the matter described in the Basis for Qualified Opinion Paragraph the financial statement read with the notes thereon, give the information required by the Companies Act, 1956 in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India, i. in the case of the Balance Sheet, of the state of affairs of the Association as at 31st March, 2013. ii. in the case of the Statement of Income and Expenditure, of the Excess of Income over Expenditure for the year ended on that date. Report on Other Legal and Regulatory Requirements 1. As required by Section 227(3) of the Act, we report that: a) We have obtained all the information and explanations, which to the best of our knowledge and belief were necessary for the purpose of our audit. b) In our opinion, proper books of account as required by law have been kept by the Association so far as appears from our examination of the books. c) The Balance Sheet and the Statement of Income & Expenditure dealt with by this report are in agreement with the books of account. d) Except for the effects of the matter described in the Basis for Qualified Opinion paragraph, in our opinion, the Balance Sheet and Statement of Income & Expenditure comply with the accounting standards referred to in sub-section (3C) of section 211 of the Act; e) According to the information and explanations given to us and on the basis of written representation from the Directors of the Association, taken on record by the Board of Directors, none of the Directors is disqualified as on 31st March, 2013 from being appointed as a Director u/s. 274 (1) (g) of the Companies Act, 1956.

Company's General Business Profile Indian Chamber of Commerce & Industry is a trade association. Significant Accounting Policies Basis of Accounting The financial statements are prepared under the historical cost convention, on accrual basis of accounting in conformity with the accounting principles generally accepted in India and comply with the accounting standards notified by the Companies (Accounting Standards) Rules, 2006.

Use of Estimates The presentation of financial statements in conformity with the generally accepted accounting principles require estimates and assumptions to be made that affect the reported amount of assets and liabilities on the date of the financial statements and the reported amount of revenues and expenses during the reporting period. Difference between the actual result and estimates are recognized in the period in which the results are known /materialized.

Membership Subscription Membership Subscription is accounted on accrual basis . Entrance Fee Entrance Fee is accounted as income in the year of admission. Fixed Assets Fixed assets are stated at cost of acquisition inclusive of freight, duties and other incidental expenses less depreciation written off and impairment in value if any, adjusted. Depreciation/ Amortization Depreciation on assets is provided at the rates prescribed in Schedule XIV to the Companies Act, 1956 on written down value method . Investments Non Current Investments are stated at cost. Decline in value, if any, which is not considered temporary in nature, is provided for. Stock of Stationery Stock of stationery is valued at cost. Employee Benefits Short Term Employee Benefits All employee benefits payable wholly within twelve months of rendering the service are classified as short-term employee benefits and recognized in the period in which the employee renders the related service. Defined Contribution Plan Employees' benefit in the nature of contribution to Provident Fund is considered as defined contribution plan and the contributions are charged to Profit & Loss account of the year when the contribution to the respective fund is due.

Defined Benefit Plans( Gratuity) The Association has an obligation towards gratuity, a defined benefit retirement plan , and covering eligible employees. The plan provides for a lump sum payment to vested employees at retirement , death while in employment or on termination of employment , of an amount computed in accordance with the provisions of the Payment of Gratuity Act,1972. Vesting occurs upon completion of five years of service. Provision for accrued liability of gratuity to the employee is made at the gross estimated undiscounted amount of liability as per Chamber's own computation.

(Cont…..) Foreign Exchange Transactions The Chamber is not having any foreign exchange transactions at present. Borrowing Costs Borrowing costs that are directly attributable to the acquisition or construction of a capital asset are capitalized. Other borrowing costs are charged to Profit & Loss Account. Provisions, Contingent Liabilities and Contingent Assets Provisions are recognised when the company has a present obligation as a result of a past event, for which it is probable that a cash outflow will be required and a reliable estimate can be made of the amount of the obligation. Provisions are not discounted to its present value and are determined based on management estimate required to settle the obligation at the Balance Sheet date. These are reviewed at each Balance Sheet date and adjusted to reflect the correct management estimates. Contingent Liabilities are disclosed when the company has a possible obligation or a present obligation and it is probable that a cash flow will not be required to settle the obligation. Contingent assets are neither recognized nor disclosed in the accounts.

Estimated amount of contracts remaining to be executed on capital account not provided for Nil Nil The Exact liability in respect of gratuity payable to the members of the staff has not been ascertained on actuarial basis. The estimated liability as on 31st march 2013, as per Chamber's own computation is Rs. 10,55,481.00 ( Previous Year: Rs.7,29,311.42). During the year , the chamber has made a contribution of Rs.100,583/- ( Previous Year : Rs.66,787) towards the accrued liability. Taking into consideration the balance in the gratuity trust fund amounting to Rs.6,32,639.97/- ( Previous Year : 4,94,211.97), the total provision for gratuity as on 31st March 2013 is Rs.10,55,481.00 - ( Previous Year : Rs.7,29,311.42) The Chamber has entered into a lease agreement with Cochin Port Trust for about 50 cents of land in W/Island for a period of 30 Years from 1990. The Expenses in connection with the execution of the lease deed including cost of stamp paper are shown under lease hold land and proportionate expenditure for the year has been written off as depreciation. a) Consequent to the ammendment to the provisions of section 2(15) of the Income Tax Act by the Finance Act 2008 a view is represented that associations like Chamber may not be entitled to exemption as a charitable institution. However, as the issue has not reached finality, no provision has been made in the accounts towards income tax liability,if any. b) Inview of the above, no adjustment has been made for the deferred tax as required under Accounting Standard (AS-22) 'Taxes on Income" b) As the issue of taxability of the income of the Chamber has not reached finality, the Chamber has not complied with the requirements of Accounting Standard-22 (AS-22)- Taxes on income No provision has been made in the accounts towards additional liability , if any , for the service tax, as the Chamber is advised that it has no liability to pay service tax on services other than renting of immovable property. The Chamber has complied with the Accounting Standards as applicable to a Small and Medium Sized Company , except the fact that provision for liability towards gratuity to employees is made as per Chamber's own computation. a) The Chamber does not owe any amount to suppliers of the category micro or small enterprises, as defined in Micro, Small and Medium Enterprises Development Act ,2006 as at the year end.
