Introduction On November 27, 2006, the New Brunswick Securities Commission (the Commission) approved publication in order to obtain comments on the proposed NI 41-101 rule and the related consequential amendments arising from the repeal of the current version of NI 41-101.

Summary of proposed Rule The purpose of the proposed NI 41-101 rule is to create a comprehensive, seamless and transparent set of national prospectus requirements for all issuers including investment funds. The purpose of adopting the consequential amendments is to conform other related national instruments and policies to the proposed Rule. The proposed NI 41-101 Rule is based on three general principles: a) harmonization and consolidation of prospectus requirements across Canada; b) harmonization with other regulatory instruments; and c) reflect current policy. The proposed NI 41-101 rule and the consequential amendments are another step towards harmonizing the prospectus and continuous disclosure requirements across Canada.

Summary of Rules NI 55-102 sets out the requirements and procedures relating to the electronic filing of various insider reports, such as Insider Profile, Insider Report, Issuer Profile Supplement, Event Report and User Registration Form. All reporting issuers, with the exception of mutual funds, are subject to the Instrument. They are required to file insider reports within the prescribed timeline and to keep their profile current. There are no filing fees associated with SEDI filings.

Summary of Rule MI 55-103 reflects a principles-based approach to monetization transactions. If an insider enters into a transaction which satisfies one or more of the policy rationales for insider reporting, but for technical reasons, it may legitimately be argued that the insider falls outside of the existing insider reporting requirements, the insider will be required to file an insider report under MI 55-103. In this way, the market can make its own determination as to the significance, if any, of such arrangements.
