B) The terms and conditions are specified in the Annexures appended to this letter. C) Sealed quotations addressed to the Chief General Manager(HRD&Trg),Corporate Training Institute, APTRANSCO, G.T.S. Colony, Erragadda, Hyderabad – 500045 should reach this office on or before 20.03.2013 by 03.00 PM D) The quotations will be opened on the same day i.e on 20.03.2013 at 03:30PM in the presence of suppliers / their authorized representatives. ANNEXURE – I TRANSMISSION CORPORATION OF ANDHRA PRADESH LIMITED TENDER SPECIFICATION No. : 16 / 2012-13 of CGM(HRD&Trg)/CTI Dt: 05.03.2013 TERMS AND CONDITIONS 1. PRICES: The prices indicated in the schedule of material should be firm in rupees including transportation to deliver the material at CTI / APTRANSCO,GTS Colony, Erragadda, Hyderabad – 500 045. 2. SCHEDULE OF MATERIAL: Price schedule of material is enclosed along with this tender specification (Annexure-II) 3. Bid Security to be paid along with Tender: 2 % of the quoted value in the shape of demand draft drawn in favour of Senior Accounts Officer, CTI, APTRANSCO payable at Hyderabad OR Bank Guarantee in the name of Chief General Manager( HRD & Trg ) / Corporate Training Institute , APTANSCO, Hyderabad should only be enclosed to the tender document. Other tha n the above will be rejected. Tenders received without signature or company seal on schedule of material page will be rejected automatically without any further consideration. 4.

Taxes and duties: The prices accepted are inclusive of all taxes. APTRANSCO is not liable to pay any other sort of taxes and duties and it is your responsibility to bear them completely either now or in future. APTRANSCO assumes full power to recover the statutory taxes and duties, if levied at a later date, either in full or in part from the securities provided by you against this order.

5. Payment: 100% payment will be made within 45 days after delivery of material and installation in good condition. The paying authority is SAO / CTI / APTRANSCO and payment will be made through crossed cheque only. All Bank Commission charges if any, are to your account only. All taxes at sources as applicable if any will be deducted from the bill amount as per rules in vogue. 6. Terms of Delivery and installation: The material ordered shall be delivered to the Divisional Engineer/ T&D or his representative , Corporate Training Institute , GTS colony, Erragadda, Hyderabad within 15 days from the date of receipt of purchase order or as per the instructions of Chief General Manager ( HRD& Trg)/ APTRANSCO in case of emergency/ urgent requirement and installed at CTI as per the instructions of Divisional Engineer (T&D)/ CTI within the above time i.e. 15 days.

7. Loss or Damages: External damages or shortages that are prima–facie, the results of rough handling in transit due to defective packing will be intimated to you within a fortnight on receipt of material. Internal defects, damages or shortages of any internal parts which cannot ordinarily be detected on a superficial visual examination, though due to bad handling in transit or defective packing or any other reasons would be intimated within 2 months from the date of receipt of materials. In either case, the defective or damaged material should be replaced and the shortages made good by you at your own cost. 8. Penalty for delay in supplies: a) Failure on the part of delivering of the goods within the stipulated period set out in the contract will attract penalty @ 0.5% per week of delay or part there of on the value of the undelivered portion, subject to maximum of 5% of the contract value. If the period of delay exceeds the specified maximum, the purchaser may consider termination of the contract. b) The date of receipt of materials at destination in good condition will be taken as the date of delivery. Materials which are not of acceptable quality or not confirming to the specification would be deemed to be not delivered. 9. Warranty/ Guarantee : You shall give guarantee for the materials to be supplied under the scope of this purchase order for satisfactory performance against faults due to design, manufacture use of defective materials, wrong workmanship for a period of 12 months from the date of delivery of material. If during this period any of the materials are found defective or fails in operation, you shall repair/replace the same at free of all costs to the APTRANSCO within a reasonable time(Warranty period for complete unit and compressor should be furnished by the supplier invariably). 10. Performance Security: Your are requested to submit the performance security amount equal to 10% of basic value of purchase order by the way of crossed demand draft drawn in favour SAO/ CTI payable ay Hyderabad. Otherwise the same will deducted from your bill duly adjusting the bid security amount paid at the time of tendering. The performance security amount will be refunded only after completion of guarantee period. The APTARNSCO reserves the right to forfeit the performance security amount if the supplier fails to fulfill all or any terms & conditions of the purchase order without prejudice to any other action.

11. Force Majeure: The supplier will not be liable for forfeiture of its performance security, penalty for late delivery or termination for default if and to the extend that its delay in performance or other failure to perform its obligations under the contract is the result of an event of Force Majeure. For purposes of this clause, “Force Majeure” means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include but are not restricted to wars or revolution, fires, floods, epidemics, quarantine, restrictions and freight embargoes. If a Force Majeure situation arises, the supplier will promptly notify the purchaser in writing of such condition and the cause thereof. Unless otherwise directed by the purchases in writing, the supplier will continue to perform its obligations under the contract as far as is reasonable practice and will seek all reasonable alternative means for performance not prevented by Force Majeure event. No price variation will be allowed during the period of Force Majeure. 12. Jurisdiction: All and any disputes of differences arising out of or touching this order will be decided by the Courts of Tribunals situated in Hyderabad only. No suit or other legal proceedings will be instituted elsewhere. 13. General: a) All general and technical correspondence shall be addressed to the Superintending Engineer/ Trg / APTRANSCO b) Unless otherwise specified, you shall abide by all the terms and conditions specified in the tender specification.
